contract to purchase with Chinese Agent

I wish to contract an agent in China to buy some predetermined products every-so-often and ship them to me in Central America. I will be going to China to establish provider-price and do the contract. I am asking if someone out there, wiser and more knowledgeable than me, to help me with advise on how to structure this contract.

Step 1: Identify the candidate/s for your product.
Step 2: Meet and discuss with the candidate/s and shortlist to 2 or 3 companies.
Prior to Step 2, you have to state your criteria, mandatory and preference (must have and nice to have). Screen the candidates according to your criteria and place weights to your selection.
3. Draft the agreement according to the format: Scope of the agreement, product/service, territories, sales target or quota, price incentives, time frame and support.
4. Definition of terms and naming convention: Example: Principal, Distributor/Agent/Representative, exclusive, non-exclusive, franchaise, non-franchaise.
5. Conditions and disclaimers.
6. Technical information, and Classified information, clause covering confidentiality and non-disclosure.
7. Other clauses not mentioned above.

2-ask thier Bank details and last 3 years P&L statement attested by thier bank and Auditors,
3-ask your bank wether this company is reliable or not throSWIFT CODE.
4-Get the 3 years customers list.
5-check with them, then study everything and sign an contract with the best detailed one
6-Always do your transaction thro Letter of Credit
7-Before L/C take a Bank Guarentee from them.
8-All bank transactions are thro 1st top 10 banks in the world
9-after signing the contract try to visit the company once(before opening the L/C).

Step 1 : you must know first all about your supplier, what kind of their company, are they well established company, did they have strong financial capabilities to produce product you are required
Step 2 : You must considering to choose L/C Irrevocable on the term of payment. It will benefit both side
Step 3 : If you have samples on your hold and it's appropriate with your requirement then they must convince you that the goods that will delivery in you is the same as the sample.
Step 4 : the essensial thing is Price, it must fix and benefit to both side
Step 5 : You must fixed that the contract is sign by both party and lawful.
