Proforma Invoice is totally different from a formal Purchase or Sales Contract in China. You can find an article regarding checking and drafting a formal contract in China here: www.myspace.cn/chinastin
You're required to check out their Business License and Export License before payment. A Business License can tell you whether they are a real manufacturer or trade company or not in China.
Take care!
The terms of the contract surely vary according to the actual item you are booking, isn't it ?
If its a perishable, for example, you'd need to know things like date of manufacture,
expiry date, etc.
If it's an electrical item, you'd need to know stuff like warranty, spare parts, etc. etc.
Your quesiton is very broad, it's not possible to give you a precise answer. You know best
what you are buying and what the normal precautions for that particular item should be.
If you think of the product from start to finish, you should have a good idea of the "clauses"
to be mentioned on your contract.
By the way, there is no fool-proof contract. Someone could cheat you even on the
most air-tight of purchase contracts....
