How to keep supplier and Buyer bypass you?
Post 1 of 6

I have a buyer need used rail, I already found the suppliers. I mark the price a bit higher so I could have the commision. The buyer accept the quote. happy to go forward without knowing that I have mark the price up.

I already learn about the transferable L/c. But I still have one more concern regarding the Contract. When both parties Exchange Contract on the Contract will state the name of the buyer and the supplier right? IF that the case they will know each other, they might bypass me to do a better deal between them.

Is there any expert can advice me, how to keep 2 parties knowing each other, but the Contract still can go forward????

Thank you

Thats your problem, if your utilizing a transferable L/C the contract needs to be with you not the supplier.  You in turn need to formulate a contract with the supplier.  Otherwise you must depend on a contract with the supplier that includees MFPA-NCND.

Get a sales agreement between the supplier and you that on all business from this buyer your commission will be in any sales you bring to the supplier. Once you have this agreement you can proceed to contacting the buyer. Once the buyer is aware of the supplier without a agreement with the supplier getting your commissions due you will be hard to do without the sales agreement from both the supplier and the buyer.

MFPA = Master Fee Protection Agreement

NCND = Non-Circumvent Non-Disclosure

You can find a sample of a MFPA here:

Here's an example of a NCND:

Hope it helps out. [em1]
